DAVAI LLC · Last updated: 1 September 2026
These Terms of Service (the "Terms") are a binding agreement between you and DAVAI LLC, a limited liability company organized in the United States ("DAVAI LLC", "we", "us"), governing your access to and use of DAVAI Trace and any related websites, APIs and applications (together, the "Service").
By creating an account, accepting an invitation to an organization, or otherwise using the Service, you agree to these Terms. If you are doing so on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, do not use the Service.
DAVAI Trace is an AI-assisted biomedical evidence platform. It retrieves records from public biomedical data sources, extracts and normalizes entities and relationships, scores and cross-checks evidence, and generates sourced reports and interactive answers.
Outputs are decision-support material. They are generated in part by large language models, which can be incomplete, out of date, or wrong, including in ways that read as confident and well-sourced. The Service is not a medical device, does not provide medical, clinical, diagnostic, regulatory, legal, or investment advice, and must not be used as the sole basis for any decision affecting patient care, regulatory submissions, or financial commitments.
Every report links each claim to the source it came from precisely so that you can verify it. You are responsible for that verification before relying on any output.
You must provide accurate registration details and keep them current. You are responsible for all activity under your account and for safeguarding your credentials.
Multi-factor authentication (time-based one-time passwords, with recovery codes) is available to every account and we recommend enabling it. Single sign-on is available through our identity provider.
Where you belong to an organization, an administrator of that organization can invite and remove members, change member roles, purchase and reduce seats, and view organization-level usage and billing records. Removing a member ends their access to the organization's workspace immediately; content they created remains with the organization.
Tell us promptly at info@davai.ai if you believe your account or your organization's account has been accessed without authorization.
You agree not to: attempt to access another customer's data or any part of the Service you are not authorized to reach; probe, scan, or test the vulnerability of the Service without our prior written permission; interfere with or place undue load on the Service; reverse-engineer or attempt to derive the underlying models, prompts, or source code; resell or sublicense the Service except as expressly permitted; or use the Service to violate applicable law or the rights of others.
You further agree not to upload content you do not have the right to process, and not to upload personal data belonging to identifiable patients or research subjects unless you have a lawful basis and appropriate safeguards for doing so.
We may throttle, suspend, or restrict activity that threatens the security, integrity, or availability of the Service, or that we reasonably believe breaches this section.
You retain all rights in the content you submit, including documents you upload and the reports generated for you ("Your Content"). You grant us a non-exclusive, worldwide licence to host, copy, transmit, and process Your Content solely to operate and provide the Service to you, and to comply with law.
We do not use Your Content to train our own models, and we do not permit our model providers to train their models on it under our agreements with them.
Documents you upload are private to your account or your organization by default. If you choose to include your uploaded documents as evidence in a report, passages from those documents may appear verbatim in the report body, its citations, and any exported or shared copy of it. Sharing or exporting such a report therefore discloses that material to whoever receives it, and you are responsible for that decision. The Service warns you before you share a report containing private evidence.
The Service retrieves records from public and third-party biomedical data sources. Those sources are governed by their own terms and licences, some of which restrict redistribution or commercial use of specific fields or records. Availability, coverage, and licence terms of any source may change without notice.
Where a source's licence restricts what we may display or export, the Service may show a reference and a link in place of the underlying content. We do not grant you any rights in third-party data beyond those the relevant source grants.
Paid plans are billed in advance through our payment processor at the price shown at purchase. One report consumes one report credit. Plan credits are granted at the start of each billing period; credit packs purchased separately do not expire and stack on top of a plan.
Credits are reserved when a run starts and are returned to your balance if the run fails, so a failed report does not consume a credit.
On per-seat plans, seats added during a billing period are charged immediately on a prorated basis and take effect at once. Seat reductions take effect at the next renewal rather than immediately: you keep the seats you have already paid for. We do not refund seats on removal.
An account may set a spending limit that caps additional charges — credit packs and seat additions — within a billing period. That limit does not apply to your plan's own recurring renewal invoice, which is not something we can decline on your behalf.
Except where required by law, fees are non-refundable once the corresponding usage has been consumed. Prices may change on notice; a change never applies retroactively to a period you have already paid for.
If a payment fails, we may retry it and will attempt to notify you. If it remains unpaid, we may suspend access until the balance is settled. We will not delete your content solely because a payment failed, within the retention periods described in the Privacy Policy.
The Service — including its software, interface, pipelines, prompts, knowledge graph structures, scoring methods, and documentation — is owned by DAVAI LLC and its licensors and is protected by intellectual-property law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, and nothing more.
You may use the reports the Service generates for you, including internally and with your clients and counterparties, subject to section 6 and to your own verification of their contents.
If you send us suggestions or feedback about the Service, we may use them without restriction or obligation to you. We will not identify you as the source without your permission.
We aim to keep the Service available and publish operational status, but we do not commit to a specific uptime level under these Terms unless we have agreed one with you separately in writing. We may modify, suspend, or discontinue features, and will give reasonable notice of material adverse changes to paid features.
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that outputs are accurate, complete, current, or fit for any particular purpose, that the Service will be uninterrupted or error-free, or that any third-party data source will remain available.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to these Terms or the Service, even if advised of the possibility.
To the maximum extent permitted by law, each party's total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid for the Service in the twelve months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited by law, including for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
You will defend and indemnify DAVAI LLC against third-party claims arising from Your Content or from your use of the Service in breach of these Terms, and for any resulting damages and reasonable legal costs finally awarded or agreed in settlement.
These Terms apply for as long as you use the Service. You may stop using the Service and cancel a paid plan at any time; cancellation takes effect at the end of the current billing period and you retain access until then.
We may suspend or terminate access for material breach of these Terms, for conduct that threatens the Service or its users, or as required by law. Where practical and lawful we will give notice and an opportunity to cure.
Following termination you may request an export of Your Content for 30 days. After that period we delete or irreversibly anonymize it in accordance with the Privacy Policy, except for records we are required to retain for legal, tax, or security purposes.
We may update these Terms. For material changes we will give notice through the Service or by email before they take effect. Continuing to use the Service after that date means you accept the updated Terms; if you do not, you may cancel.
These Terms are governed by the laws of the United States, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts of that jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
Before filing a claim, each party agrees to attempt to resolve the dispute informally by contacting the other and negotiating in good faith for 30 days.
These Terms, together with the Privacy Policy and, where applicable, the Data Processing Addendum and any order form, are the entire agreement between us on this subject. If a provision is held unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger or sale of assets.
